The investigation by a law firm concerns whether certain officers and directors of Courier Corporation breached their fiduciary duties owed to NASDAQ:CRRC investors in connection with the proposed acquisition.
On January 16, 2015, Quad/Graphics, Inc.(NYSE: QUAD) and Courier Corporation (Nasdaq: CRRC) jointly announced an agreement by which Quad/Graphics will acquire Courier Corporation (NASDAQ:CRRC). Under terms of the agreement, Quad/Graphics will acquire Courier Corporation (NASDAQ:CRRC) in a transaction valued at approximately$260 million, including approximately $25 million in net debt and capital leases as of December 31, 2014. Quad/Graphics will pay Courier Corporation (NASDAQ:CRRC) shareholders the equivalent of a total purchase price of $20.50 per share, consisting of cash and shares of Quad/Graphics Class A common stock. Each Courier shareholder will have the right to elect to receive cash or Quad/Graphics common stock, subject to proration in the event that shareholders elect to receive more than 54% cash or more than 46% stock.
However, the investigation concerns whether the offer is unfair to NASDAQ:CRRC stockholders. More specifically, the investigation concerns whether the Courier Board of Directors undertook an adequate sales process, adequately shopped the company before entering into the transaction, maximized shareholder value by negotiating the best price, and acted in the shareholders’ best interests in connection with the proposed sale.
Courier Corporation reported that its Total Revenue rose from $256.94 million for the 52 weeks period that ended on Sept. 29, 2012 to $283.29 million for the 52 weeks period that ended on Sept. 27, 2014. Shares of Courier Corporation (NASDAQ:CRRC) grew from $6.54 per share in September 2011 to as high as $18.72 per share in November 2013.
On January 23, 2015, NASDAQ:CRRC shares closed at $19.45 per share.
